1. Agreement to Terms

By accessing or using the website marwiltechnologies.com ("Site"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Site. The Site is operated by Marwil Safety LLC, doing business as Marwil Technologies ("we," "us," or "our").

2. Services

Marwil Technologies provides technology consulting services including but not limited to AI infrastructure compliance auditing, AI migration services, and related technology solutions. Our services are advisory in nature and do not constitute legal, medical, or regulatory counsel.

3. Engagement Terms

All consulting engagements are governed by a separate Statement of Work (SOW) agreed upon by both parties prior to commencement of work. Payment terms, deliverables, timelines, and scope are defined in the SOW. These Terms of Service govern use of this website; the SOW governs the consulting relationship.

4. Payment

Unless otherwise specified in a SOW:

50% of the engagement fee is due at project kickoff
50% is due upon delivery of final deliverables
Monthly retainer fees are billed on the 1st and due within 15 days
Late payments are subject to 1.5% monthly interest

5. Intellectual Property

All deliverables produced under a consulting engagement become the property of the client upon full payment. Tools, frameworks, templates, and methodologies used by Marwil Technologies in the delivery of services remain the intellectual property of Marwil Safety LLC.

6. Confidentiality

We treat all client information as confidential. We will not disclose client systems, data, compliance status, or business information to any third party without written consent, except as required by law. We are prepared to execute a mutual NDA upon request.

7. Limitation of Liability

To the maximum extent permitted by law, Marwil Safety LLC (doing business as Marwil Technologies) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or this website. Our total liability for any claim arising from a consulting engagement shall not exceed the fees paid for that specific engagement.

8. Disclaimer

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the completeness, accuracy, or reliability of our consulting services. Our compliance auditing services are advisory — they do not guarantee regulatory compliance or immunity from regulatory action. Clients are responsible for their own compliance decisions.

9. Indemnification

You agree to indemnify and hold harmless Marwil Safety LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your use of our services or your violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Maryland.

11. Termination

Either party may terminate a consulting engagement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Monthly retainers may be cancelled with 30 days notice.

12. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Site after changes constitutes acceptance of the revised Terms.
